1. Introduction and Acceptance

1.1 These Terms and Conditions ("Terms") govern your access to and use of the zillion.ng/coop website, platform, and related services (collectively, the "Platform"), operated by Zillion Cooperative Society, a cooperative society registered under [insert applicable State Cooperative Societies Law / Cooperative Societies Act, e.g., Lagos State Cooperative Societies Law], with registration number [insert number].

1.2 By registering as a member, accessing the Platform, or making any contribution, deposit, or payment through the Platform, you ("Member", "you", "your") agree to be bound by these Terms, our Privacy Policy, and any bye-laws of the Society. If you do not agree, you must not register or use the Platform.

1.3 These Terms apply to all Members, whether resident in Nigeria or in the Nigerian diaspora.

2. Eligibility and Membership

2.2 Membership is open to Nigerians resident in Nigeria and members of the Nigerian diaspora, subject to any category-specific conditions set out in our bye-laws (for example, diaspora membership classes, contribution currency, or voting rights).

2.3 We reserve the right to decline, suspend, or terminate membership where information provided is false, incomplete, or where we reasonably suspect fraud, money laundering, or a breach of these Terms.

2.4 You are responsible for keeping your registration details, contact information, and login credentials accurate and confidential. You must notify us immediately of any unauthorized use of your account.

3. Nature of the Platform and Our Role

3.1 Zillion operates as a cooperative society. The Platform is a digital channel through which Members register, manage their membership, make contributions, apply for loans or benefits (where applicable), and access Society information.

3.2 Zillion is not a bank, deposit money institution, or licensed payment service provider. We do not hold, custody, or process payment card or bank account data ourselves.

3.3 All monetary contributions, deposits, or payments made through the Platform are processed by third-party, duly licensed payment gateway provider(s) ("Payment Gateway"), who redirect and settle funds directly into the Society's designated bank account(s). By making a payment, you authorize the Payment Gateway to process that transaction on our behalf and on the terms of the Payment Gateway's own terms of service, which you should also review.

3.4 We are not responsible for, and disclaim liability for, delays, errors, security incidents, or failures that occur within the Payment Gateway's systems, except to the extent such loss arises from our own gross negligence or willful misconduct in selecting or instructing that Payment Gateway.

3.5 A transaction is considered complete only once we receive confirmation of successful settlement from the Payment Gateway into the Society's bank account. It is your responsibility to retain proof of payment and to promptly report any discrepancy.

4. Contributions, Savings, and Loans

4.1 Contribution amounts, frequency, minimum thresholds, and any applicable fees are set out in the Society's bye-laws and/or displayed on the Platform at the point of payment.

4.2 Where the Society offers loan, credit, or benefit schemes to Members, eligibility, interest (where applicable), repayment terms, and default consequences will be governed by separate loan terms and the Society's bye-laws, which form part of these Terms by reference.

4.3 Diaspora Members contributing in foreign currency acknowledge that:

5. Fees and Charges

5.1 We may charge administrative, processing, or service fees, which will be disclosed on the Platform before you complete a transaction.

5.2 Payment Gateway transaction charges are separate from, and in addition to, any Society fees, and are set by the Payment Gateway.

6.2 We reserve the right to suspend or terminate your access, and to report suspected illegal activity to the relevant Nigerian authorities, including the Economic and Financial Crimes Commission (EFCC), Nigerian Financial Intelligence Unit (NFIU), or applicable Cooperative Societies regulatory bodies.

7. Intellectual Property

7.1 All content on the Platform, including logos, text, graphics, and software, is owned by or licensed to Zillion and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

8. Disclaimers and Limitation of Liability

8.1 The Platform is provided "as is" and "as available." We do not warrant that the Platform will be uninterrupted, error-free, or secure at all times.

8.2 To the maximum extent permitted by law, Zillion shall not be liable for indirect, incidental, or consequential losses arising from your use of the Platform, including losses arising from Payment Gateway failures, internet or network disruptions, or events outside our reasonable control (force majeure).

8.3 Nothing in these Terms limits liability that cannot be excluded under Nigerian law, including liability for fraud or willful misconduct by the Society.

9. Data Protection

9.1 Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference and complies with the Nigeria Data Protection Act, 2023 ("NDPA").

10. Suspension and Termination

10.1 You may close your membership at any time, subject to the Society's bye-laws on exit, withdrawal notice periods, and settlement of any outstanding obligations (e.g., loan repayment).

10.2 We may suspend or terminate your membership and Platform access for breach of these Terms, non-payment of dues, suspected fraud, or as otherwise permitted by the Society's bye-laws, subject to any notice or appeal process set out therein.

11. Amendments

11.1 We may update these Terms from time to time. Material changes will be communicated via the Platform or by email/SMS to registered Members. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

12.1 These Terms are governed by the laws of the Federal Republic of Nigeria, including the applicable State Cooperative Societies Law under which the Society is registered.

12.2 Disputes between a Member and the Society shall first be referred to the Society's internal dispute resolution/arbitration process as provided under its bye-laws and applicable cooperative societies legislation, before resort to the courts or statutory cooperative tribunals having jurisdiction.

12.3 For diaspora Members, submission to Nigerian jurisdiction and the internal dispute process under this clause is a condition of membership.
